1. Acceptance of Terms
By accessing or using SB InvoiceFlow (“the Service”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. These terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
SB InvoiceFlow is an online invoice management platform that allows users to create and send invoices, manage clients, record payments, set up recurring billing, and accept online payments via Stripe. The Service is available under Free, Pro, and Business subscription plans.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account. SB InvoiceFlow reserves the right to terminate accounts that violate these terms.
4. Subscription Plans & Billing
SB InvoiceFlow offers Free, Pro ($12/month), and Business ($29/month) plans. Paid plans are billed monthly. You may upgrade or downgrade your plan at any time. Upgrades take effect immediately; downgrades apply at the start of the next billing cycle. The Free plan is provided at no cost with usage limits (10 invoices/month, 5 clients). We reserve the right to change pricing with 30 days' notice.
5. Payments & Refunds
Payments are processed securely through Stripe. By providing payment information, you authoriseSB InvoiceFlow to charge your payment method for the subscription fees. All charges are non-refundable except where required by applicable law. If you cancel your subscription, you retain access until the end of the current billing period.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Send fraudulent, misleading, or spam invoices
- Attempt to gain unauthorised access to any part of the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to process payments for illegal goods or services
- Resell or sublicense access to the Service without written permission
7. API & Webhooks
Business plan users may access the SB InvoiceFlow REST API and webhook system. API usage is subject to rate limits and fair use policies. You are responsible for securing your API keys. Do not expose keys in public repositories or client-side code. SB InvoiceFlow reserves the right to revoke API access if abuse is detected.
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take data security seriously and implement industry-standard measures including encrypted connections, two-factor authentication, and scoped access controls.
9. Intellectual Property
The Service, including its code, design, trademarks, and content, is owned by SB InvoiceFlow and protected by applicable intellectual property laws. You retain ownership of all invoice data and client information you create through the Service. By using the Service, you grant SB InvoiceFlow a limited licence to store and process your data solely to provide the Service.
10. Team Members & Permissions
Business plan users may invite team members to their account. The account owner is responsible for all actions taken by team members. You must ensure team members are aware of and comply with these Terms. SB InvoiceFlow is not liable for actions taken by team members under your account.
11. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. SB InvoiceFlow does not warrant that the Service will be uninterrupted, error-free, or free of viruses.
12. Limitation of Liability
To the maximum extent permitted by law, SB InvoiceFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
13. Termination
You may cancel your account at any time from your account settings. SB InvoiceFlow reserves the right to suspend or terminate your account without notice if you breach these Terms. Upon termination, your right to use the Service ceases. You may export your data before termination; SB InvoiceFlow will retain your data for 30 days after termination before permanent deletion.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
15. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be subject to binding arbitration.
